Public Disclosure Policy
FCR Real Estate Investment Partnership Inc.
1. PURPOSE
The Public Disclosure Policy of FCR Real Estate Investment Partnership Inc. (“Company”) has been prepared within the framework of the Capital Markets Legislation, Corporate Governance Principles and the Company’s Articles of Association. This Policy aims to ensure that all information that is not a trade secret, the Company’s past performance and future expectations are conveyed to all stakeholders, such as shareholders, potential investors, employees, customers and relevant authorized institutions, in a complete, fair, accurate, timely, understandable and easily accessible manner.
The Company undertakes to act in compliance with all relevant legislation and regulations and to show utmost care for the principles set forth in the Corporate Governance Communiqué of the Capital Markets Board (“CMB”).
2. SCOPE
This Policy covers all essential issues that require public disclosure regarding the Company’s activities, partnership structure, financial performance, management and publicly held joint stock companies.
3. BASIS
This Policy has been prepared in accordance with the CMB's Special Circumstances Communiqué (II-15.1) and Corporate Governance Communiqué (II-17.1).
4. DEFINITIONS
In this Policy:
• Information Policy: FCR Real Estate Investment Partnership Inc. Public Disclosure Information Policy,
• KAP: Public Disclosure Platform,
• Corporate Governance Principles: The principles specified in the CMB's Corporate Governance Communiqué,
• Special Circumstances Communiqué: CMB's Communiqué numbered II-15.1.
5. AUTHORITIES AND RESPONSIBILITIES
The Information Policy is created, implemented and amended when necessary by the Board of Directors. Amendments approved by the Board of Directors are published on the KAP and the Company's website.
All written and visual press releases to be made during public disclosure processes are made by the Company's Chairman of the Board of Directors or authorized officials.
6. INFORMATION METHODS AND TOOLS
The Company uses the following methods and tools for the purpose of informing the public:
• Public Disclosure Platform (KAP),
• Turkish Trade Registry Gazette and other newspapers when necessary,
• Company website (www.fcrgyo.com.tr),
• Press releases and press meetings,
• Telephone, e-mail and other communication tools.
7. INFORMATION MEETINGS AND PRESS RELEASES
Information requests from shareholders, investors and analysts are answered by the Investor Relations Unit in line with the principles of equality and transparency within the framework of publicly disclosed information.
Forward-looking assessments may be announced to the public through press and media organs, meetings or KAP statements.
8. MANAGEMENT OF NEWS AND RUMOURS IN THE PRESS AND MEDIA
The Company follows news and rumours in the national or international press. If news or rumors with content different from the information disclosed to the public are of a nature that may affect investors' decisions, a statement is made through the Public Disclosure Platform.
9. MEASURES TO PROVIDE CONFIDENTIALITY
Company managers and persons with access to internal information are obliged to protect the confidentiality of information that must be disclosed to the public. These persons are provided with the necessary information on the protection of internal information and its non-misuse.
10. DISCLOSURE OF FUTURE-ORIENTED ASSESSMENTS
The Company's future-oriented assessments are prepared based on reasonable assumptions and a public statement is made in the event of deviations.
11. ANSWERING STAKEHOLDER QUESTIONS
All questions posed by stakeholders are answered by units designated by the Board of Directors. In addition, frequently asked questions and their answers are published on the Company's website.
12. ENFORCEMENT AND UPDATE
This Policy shall enter into force following the approval of the Board of Directors and shall be updated when deemed necessary.
